The Headless Horseman has three things going for him: 1) He's a 2/2 creature for a reasonable price for black; 2) he's been errata'd to be both a zombie and a knight, which gives him some synergy in a deck built around either of those tribes; and 3) beautiful art by the inimitable Quentin Hoover. Sadly, a vanilla 2/2 for 3 mana just isn't worth anyone's time in competitive play, and in casual play it's only worth showing off to your friends ("Hey, check it out, it's the Headless Horseman! I've got Frankenstein's Monster in here, too!"). It's a card for the collector, not the player.

He Rides through the night searching for a new head to rest upon his shoulders in his eternal damnation. He also happens to be a 2/2 black creature with no abilities for 3 mana. So maybe he isn't as tough as he was back when he was after Icabod Crane, however he is a cool guy to put into your magic book and flash around.
